Some of it definitely depends on the buyers, assuming they're coming from outside.

Some may be ok with them staying with an inconsequential %, but exclude them from most, if not all decision making. Worst case scenario is JS and SD just flipping their share %.

As long as it's not the latter, it'll be annoying but not the end of the world.
Does sartori still have a say with 20% and what percentage would donald need to have no say? Its ganna be massivelu underwhelming and if it happens like that it confirms their intentions all along altho everyone with a brain knew anyway

There are pre-emption clauses in Madrox's articles meaning Sartori and Methven have to be given the opportunity to buy Donald's shares on the same terms as the potential buyer, but that's really it. In reality, there's nothing they can really do of Donald wants to sell his shares, short of buying them instead.
 
Its probably not that long in terms of a takeover process. It hadn't even started when SD did his last interview which was July?
The Derby takeover was reported as 6 months. We are well within those timescales.

The problem is actually that because takeovers involving SD take place in the open, fans naturally are constantly chasing information and it just leads to fan discontent and petty arguments.
In terms of completion dates its not helped this time by having a leaked target date of the start of the season.

If all this was played out in proper secrecy we wouldn't know anything until the last fews days before it was announced.

Depending on the shareholders agreement, provided someone owns over 50%, they'll not have too much issue with minority shareholders in terms of day to day decisions.

Some things require more than a certain % of the company to do, usually a 'Special Resolution' for changing the rules by which decisions are made. If you own over 75% that's usually fine.

Finally, some things require what is known as a 'special majority' - for example, they may say that to sell the club, regardless of %, they may require 75% of the votes AND at least one of the minority shareholders to agree.

So the best way of handling this now is to ensure the articles of association and shareholders agreement are heavily weighted towards the new owner so that Donald can keep his shares, but never have any leverage to block or force anything in future.

Only Sartori probably has the ability, but I doubt he has the desire. In any event, if a proposed deal envisaged them keeping their currently shareholdings, but Donald selling all or most of all, their agreement would be pretty much a formality in getting the deal done in the first place.
 
Yeah and if Sartori wants it, he'd be better off negotiating that directly with Donald, as someone external will likely be paying more than two friends negotiating a sale of something they both already own part of.
 
He's actually a really nice bloke for the vast majority of the time, and a man I'd want at my back if I was in trouble. He may have literally saved my life last year at Bolton, when I lost my balance at the top of a flight of steps. However he is thin skinned, and has to have the last word, and won't let things lie. We've told him time and again to let things go, but he's set in his ways. That's what kept getting him into trouble on here.

There’s sod all happening man. This excuse SD and his mates have spun out there for cancelling the RAWA meeting is just that, an excuse. The only consolation I can take is we must be nearing the end game soon for their ownership. People won’t be fooled for much longer. The amount who give them any benefit of doubt diminishes every time they hide away.
Pretty much my thoughts on it too.

Yet another attempt to deflect the heat by the Oxford Hunchback.
