for shares to change hands in madrox, surely the loan& any other items on balance sheet would have have been part of the share valuation and thus remain in place unless terms of loan indicate otherwise or FPP wish to get more involved.

On the other hand, if JS moves his shares into the newco, with he and KLD holding 50% each of the newco, the newco will have an 80% shareholding. The devil, as ever, is in the detail.
