As that's registered in Delaware, which has very limited disclosure requirements, it's guesswork as to who the partners are. My guess is all four. Dell isn't a director of the newco, because he's intended to be a passive investor. Going forward, I'd guess that the newco will own a majority stake in Sunderland, with the minority interest staying with Madrox.

I'm still hours behind on this, plodding through the thread...I'll have a proper think and post something considered when things calm down a bit, and I get some idea of the new structure. For the moment, I'm sitting in a restaurant in Newcastle having a very pleasant late lunch and trying not to grin like a lunatic.
