I don't think it's fraud mind.
It's typical of a business ownership transaction - I bought a shareholding in the company I work for and funded it by borrowing the money from the company. I'll just pay back the money when I sell the shares.
There is no point in handing over cash anywhere if you don't need to.

Furthermore - I suspect you weren't expected to inject equity in each year?
For ever 100m they spend (unless they fund it with loans from PIF) she has to stump up 10%.
Original - 33 + 10m w/c + 10% of 75m is over 50m she is in hock for now.
How long can she borrow at that level? Will the sale be to PIF or will the entire 100% go?
It is all very murky.
