So I’m just saying until there is acknowledgment of a written agreement between both parties the formation of this new company is not proof in itself of a deal been done

That is all very true, but I think the fact that they have been involved in serious talks for over a month and that company was formally registered yesterday is significant.

Right, the situation. The new company is owned 100% by the American LLP. As that's registered in Delaware, which has very limited disclosure requirements, it's guesswork as to who the partners are. My guess is all four. Dell isn't a director of the newco, because he's intended to be a passive investor. Going forward, I'd guess that the newco will own a majority stake in Sunderland, with the minority interest staying with Madrox.

It's the same place as Google and Apple have their registered office for some reason.
