I don't see why discussions about restructuring would hold the deal up to be fair. They can easily come in, give a press release about their intentions and then start restructuring in the back ground. Realistically it can only be manager and recruitment that they're looking at currently in terms of changes to existing people and many will half expect changes there anyway.

Only thing I can think of is they want to announce a new manager alongside the takeover

I don't think it's holding the deal up,rather the announcement,which,I agree with you,would seem to be something that could come after the main takeover announcement is made. It's fairly obvious that these blokes will make significant changes.
 
The only restructuring that can be holding the announcement up would be a change of manager in my eyes, everything else could be getting done in house.
