We will probably never get to see the true detail of what KLDs 41% truly gives him in terms of control as Mercator are a non domiciled company whose articles are likely to be protected by an NDA.
All that we know is that KLD owns 41% of a company that owns 100% of SAFC. Giving him a controlling interest not necessarily majority ownership.

Yep. I think the simplest way of looking at this is that he doesn't have control over the business, so he can't act against the interests of other shareholders or do anything financial without their consent and them matching his commitment, but he does technically have the largest stake in the holding company, and they've given him every role of consequence in terms of how money is spent day-to-day.
 
The funny thing is, all that they really needed to do to avoid too much scrutiny was to avoid methven looking like he was too involved in the running of things and leave Kyril at the forefront. :lol:
It was clear from the way appointing Johnson's replacement was managed that there was more going on behind the scenes.
It now looks likely there was disagreement among the controlling interests in the club

I was pissed off and at a low anyway. But this explains alot of what has been going on within our club. Nobody minds the truth even if it's not what you want to hear. But I hate being lied too and taken for a mug.
 
We will never find out this information as the shares are owned by Mercator a foreign domiciled company in which KLD owns 41%. The rights assigned to those shares are likely to be subject to an NDA

If the shares are held in a UK company subject to English law, they surely have to post the articles, regardless of the jurisdiction of where the share owners are based.
 
Great this btw. Welcome to my world, where I have to grapple with this shite all the time :D Almost anything can be baked into investment agreements, that's a good rule of thumb. You can have 99% of a company and not be able to wipe your arse without unanimous agreement, and then what do you have? 50%!
 
I’m not an expert in this but if KLD has the highest % of shares he has the power over the other Shareholders ( as they only have smaller % ) and each is classed as individuals.
Not how it works, but you'd be right if that's how it worked.
