It is a legal requirement under Company Law. The common practice you stated is alluding to Shadow Directors who run the business from behind the scenes. These make decisions that affect the business operations, again, that is contrary to Company Law.

Dependent on the number of shares, there is an equation %, held by an individual/individuals, a Small Holder Director could be appointed but this is very rare and have very little say. Many larger Companies do this as a governance issue.

it is common for small sharehodles to appoint a director, of course under the ;aw all directors are supposed to act in the interests of all shareholders at all times...but that doesnt mean it happens that way.

They were provided the question by RAWA in advance of the meeting yet no mention of it.

It wasn't until the next day, after RAWA refused to let them try and blag their way out of it, that they suddenly remembered they have one.

would steve davison have known about it though? he was the one asked about it at the meeting wasnt he? and he isnt a shareholder?

He read out a preprepared statement by them with no mention of it. Even if he wasn't briefed about it (when there's been so much effort gone in to hiding it) when they've discussed the statement with him they would have said in the statement.
