Takeover News/Rumours

No, basically.

There are a couple of ways you can do it (and I'm sure there are more if you want to get creative) but they can either:

1. buy more shares in the club. They usually need to give the existing shareholders the opportunity to match or buy shares at that price, but assuming Donald didn't, his shareholding would be diluted the more they put in and the more shares were added to the cap table.

2. Put in a loan, which takes precedence both while running the club (ie: they can use club revenue to pay it back over the next few years even if we're not profitable le as Ashley has) and also in the event of a sale is paid off before shareholders get paid their share.

I'm sure GOM can think of other ways, but the main thing is that it's unlikely Donald would allow anything in the Shareholder agreement that allowed him to be diluted entirely.
That’s my understanding that an existing shareholder has the right to buy shares at the agreed price at the time of any sale if he so wants, so either Sartori doesn’t want them or doesn’t want them at the price, if as being said he is only keeping his 20% if this proposed takeover is correct.
As for CM he hasn’t any money anyway.

It has not been done yet. The DD was done 4 weeks ago, the hairy one chucked in a better offer that had to be discussed, that was the delay.
His offer was declined. That's what I was told.
What you said in this sums up what the whole takeover is about, apparently according to what know we had a good offer from the French guy for a few weeks which is close, but your telling us someone comes along with more money and the greedy bastards stop the whole process to consider it.
I said this for ages about SD the problem with him is enough is never enough.

Ps This also basically tells me, nothing is done at all.

I think that the difference in this case would likely be that Sartori would not be separate from the new people unless the 'consortium' element has been misrepresented.

I would expect the new consortium to be one entity (a new company) with 2-4 owners, who absorb Sartori's existing Madrox shareholding into that company, and for him to then contribute at a reduced rate for the new shares purchased that meant each of the consortium held an equal stake with a similar outlay.

But all options are still possible, including the possibility that JS is the person with the final say on everything once the dust settles, and that everyone is happy with that arrangement.

Methven is an irrelevance. Sorry Charlie.

That is allowed, but you also need room in the 22 man squad if they're over 21.

So in theory we could get some loan players in from a couple of big French clubs, with the French club covering the salary if we pay a loan fee upfront?

All bonuses count, other than those contingent on cup progression or promotion. Clubs are required to submit regular returns of actual spend, and monitored accordingly.

Anyone who supports SD or CM arnt Sunderland fanse in my view.

If this buyout goes ahead, it couldn't be better timed - being before Xmas - though the new owners and DOF would need to get a move on to get more quality into the team to make a real push for promotion this season.
