He is massively over rated but he still has certain skills.

In League One though? I think he'd be out of his depth.
I actually think he is underrated at the moment. He has won every big trophy and has an ambition to build a team. If he hadn’t fallen out with Fergie and managed Liverpool he is one of the few who could do a job at Man Utd

Rafas Mags

It just shows how important a great coach is. Ranieri, for example, was able to take Leicester to the title. Not always about money and super star players, I suppose.

Why would he be out of his depth in the 3rd tier but isn't out of his depth in the top flight?

Different kind of players and management style needed. Add to that the piss poor players and attitude at our club.

Most top managers would struggle if they went to a shit team like us imo.

There's no doubt he's done a very good job indeed at Newcastle.
Wouldn't surprise me at all if he went elsewhere in the Summer though.

I expect this to be the case.

Who would be potential suitor's though? He seems to want to stay in England and the only top 6 club who might take him would be Arsenal. Doubt he would go to Everton with the Liverpool links. West Ham and Leicester may well be looking for new managers, but would he be that tempted by those?

Thing is that his family apparently live in the Wirral so he'd prefer an English job to the touted Real Sociedad one.

Not sure - maybe if Arsenal finally sack Wenger they'd go for him?

As you say, there's not really a club that's a step up likely to take him. But respected journalists like Caulkin and Edwards and Hardy who he seems to actually speak to have written about the £5m compensation thing, if he was to leave before the final year he'd owe (or the new club) would owe £5m (his final year salary). That clause expires going into the last year of his contract.
As soppy as this sounds, Newcastle need Benitez more than Benitez needs Newcastle, and his reputation is still good enough that he could be a contender for most jobs that come available. The fact he's found working under Ashley a chew on may push him towards an exit.
He was going to join West Ham before Real Madrid came in for him. He wants to be in England as his family still live on the Wirral, his kids are in school there, been settled there since his Liverpool days. I think even just leaving and then waiting for a job to come up might appeal to him.

He might even stay and sign a new contract but I really doubt it. Things are never smooth with Ashley. Always just a breaking news story away from chaos and crisis

Leaving the mags to join Real Sociedad at the end of the season apparently according to Marca.

Are you sure? The Mirror is saying tonight that the takeover of the Mags is back on. Which means in all likelihood Rafa stays. Even upgrading the trainign ground already which suggests it's nearly done.

f***ing hope not because I guarantee if Rafa leaves they will appoint Sherwood and they'll crash

How can you guarantee that?
